1. Acceptance of Terms
By accessing or using TeachersFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use the Service.
These Terms constitute a legally binding agreement between you and:

The Service is governed by applicable laws, including the laws of Georgia, the General Data Protection Regulation (GDPR) where applicable, and mandatory consumer protection laws in your jurisdiction.
2. Description of the Service
TeachersFlow is a web-based software platform (SaaS) for tutoring management, delivered as a web application. The Platform provides the following software features:
- Schedule management: Creating and managing lesson schedules for individual students and groups
- Student management: Maintaining student records, groups, and lesson balances
- Payment tracking: Recording and confirming lesson payments between teachers and students (the Service does not process financial transactions directly)
- Notifications: Automated lesson reminders and payment notifications via in-app and email channels
- Analytics: Usage statistics and lesson history
The Platform is provided as a software-as-a-service ("as is") and is intended for use by tutors, teachers, and educational professionals. Users subscribe for access to the Platform and its software features.
3. Eligibility
To use the Service, you must:
- Be at least 16 years of age
- Have a valid email account
- Have the legal capacity to enter into a binding agreement
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
4. Account Registration and Authentication
4.1 Account Creation
Accounts are created through the web registration flow. Authentication is available via email/password.
4.2 Account Security
You are responsible for:
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
We are not liable for losses arising from unauthorized access to your account.
4.3 Account Types
The Service supports two account types:
- Teacher: Full access to schedule management, student records, and analytics
- Student: Limited access to view their own schedule and manage payments with their teacher
5. Subscription Plans and Payments
5.1 Plans
The Platform offers paid subscription plans (Starter and Pro), each providing a different level of access to software features such as schedule management, student and group management, analytics, notifications, and technical support.
Feature availability and pricing may change over time. Current plan details are available within the application.
5.2 Payment Processing
Paid subscriptions are processed through a third-party payment provider. By subscribing to a paid plan, you also agree to the payment provider's terms of service and privacy policy.
We do not directly process, store, or have access to your payment card details. All financial transactions are handled by the payment provider.
5.3 Subscription Terms
- Subscriptions are billed on a recurring basis according to the chosen period
- You may cancel your subscription at any time through the application settings
- Upon cancellation, you retain access to paid features until the end of the current billing period
- Refund policies are described in our Refund Policy and are subject to applicable consumer protection laws
5.4 Lesson Payments
The payment tracking feature within TeachersFlow is an informational tool only. It records the status of payments between teachers and students but does not facilitate, process, or guarantee any financial transactions. All actual payments are made directly between parties outside the Service.
6. User Responsibilities
6.1 Acceptable Use
You agree to:
- Use the Service only for its intended purpose (managing tutoring activities via the software platform)
- Provide accurate information when using the Service
- Comply with all applicable laws and regulations
- Respect the rights and privacy of other users (students, teachers)
6.2 Prohibited Activities
You must NOT:
- Use the Service for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems
- Interfere with or disrupt the Service's infrastructure
- Upload malicious content or attempt to exploit vulnerabilities
- Use automated systems (bots, scrapers) to access the Service except through the intended interfaces
- Circumvent rate limits or security measures
- Impersonate another person or entity
- Use the Service to send spam or unsolicited communications
- Resell, redistribute, or sublicense the Service without authorization
6.3 Data Entry Responsibility
As a teacher, you are responsible for:
- The accuracy of student data you enter
- Obtaining appropriate consent before storing information about your students (especially minors)
- Complying with data protection laws applicable to your jurisdiction when processing student data
- Ensuring that notes and other free-form fields do not contain illegal or inappropriate content
7. Intellectual Property
7.1 Service Ownership
The Service, including its design, code, features, and documentation, is the property of TeachersFlow. All rights not explicitly granted in these Terms are reserved.
7.2 User Content
You retain ownership of all data you enter into the Service (student records, notes, schedule information). By using the Service, you grant us a limited license to store, process, and display this data solely for the purpose of providing the Service to you.
7.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without obligation or compensation to you.
8. Limitation of Liability
8.1 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance
- Server or infrastructure issues
- Force majeure events
- Updates and improvements
8.2 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Service is provided "AS IS" and "AS AVAILABLE"
- We make no warranties, express or implied, regarding reliability, accuracy, or fitness for a particular purpose
- We do not warrant that the Service will be error-free or uninterrupted
- We are not responsible for any data loss resulting from hardware failures, software errors, or circumstances beyond our control
8.3 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for any financial losses arising from incorrect data entry or reliance on payment tracking features
8.4 Consumer Protection
Nothing in these Terms shall limit your rights under mandatory consumer protection laws applicable in your jurisdiction, including but not limited to the Law of Georgia on the Protection of Consumer Rights, EU consumer protection directives, and other mandatory local rules.
9. Data Protection
Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Key points:
- We collect only data necessary for the Service (primarily from account activity)
- We do not sell your data to third parties
- Inactive accounts are automatically deleted after 180 days
- You can request data deletion at any time
10. Termination
10.1 By You
You may stop using the Service at any time. To delete your account and all associated data, contact us at [email protected] or use in-app functionality.
10.2 By Us
We reserve the right to suspend or terminate your access to the Service if:
- You violate these Terms
- Your use poses a security risk to the Service or other users
- We are required to do so by law
- We discontinue the Service (with reasonable notice)
10.3 Effect of Termination
Upon termination:
- Your right to use the Service ceases immediately
- We may delete your data in accordance with our Privacy Policy and data retention policies
- Provisions that by their nature should survive termination will remain in effect (including liability limitations, intellectual property rights, and dispute resolution)
11. Changes to These Terms
We may modify these Terms at any time. Changes become effective upon posting on our website or within the application. For material changes, we will provide notice via email and in-app notifications at least 14 days before the changes take effect.
Continued use of the Service after changes constitute acceptance of the modified Terms. If you disagree with the changes, you must stop using the Service.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by:
- The laws of Georgia
- Mandatory consumer protection laws in your jurisdiction, where such rules must apply by law
12.2 Dispute Resolution

If a dispute cannot be resolved through direct communication:
- For residents of Georgia: Disputes shall be resolved in accordance with Georgian law in courts of competent jurisdiction in Georgia
- For EU residents: You may use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/
- For other jurisdictions: Mandatory rules of your jurisdiction may apply where required by law
13. Miscellaneous
13.1 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
13.2 Waiver
Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.3 Entire Agreement
These Terms, together with the Privacy Policy and Data Processing Consent, constitute the entire agreement between you and TeachersFlow regarding the use of the Service.
13.4 Assignment
We may assign or transfer our rights and obligations under these Terms without your consent. You may not assign your rights under these Terms without our prior written consent.
13.5 Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, wars, government actions, network failures, or third-party service outages (including email delivery providers).
